These Terms & Conditions ("Terms") govern your access to and use of the websites, services, and products provided by Chione LLC and its operating companies: Chione Trucking, Boreas Iceman, and Boreas Disaster Relief (collectively, "Chione," "we," "us," or "our").

By accessing or using any of our websites or services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

Which Chione Company Are You Using?

These Terms apply to all Chione operating companies and their respective services:

• ChioneLLC.com — Corporate information and investor relations

• ChioneTrucking.com — Freight services and B2B logistics

• BoreasIceman.com — Retail products, merchandise, and consumer services

• BoreasDisasterRelief.com — Emergency response services and disaster logistics

Specific terms may apply to certain services and will be noted in the relevant sections below.

1. Acceptance of Terms

By accessing or using our services, you represent that:

• You are at least 18 years of age (or the age of majority in your jurisdiction)

• You have the legal capacity to enter into these Terms

• You will comply with all applicable laws and regulations

• All information you provide is accurate and complete

For Boreas Iceman retail purchases, Minors may use the service with parental or guardian consent and supervision.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our websites with an updated "Last Updated" date.

Chione Trucking Services

Freight and Logistics

• Services are provided subject to availability and capacity

• Shipping quotes are estimates and may be subject to change

• Freight must comply with DOT regulations and our safety standards

• Hazardous materials require special handling and documentation

• You are responsible for proper packaging and labeling

• Claims for loss or damage must be filed within 30 days of delivery

Payment Terms

• Payment terms are net 30 days unless otherwise agreed

• Late payments may incur interest charges of 1.5% per week

• We reserve the right to place liens on freight for unpaid charges

Boreas Iceman Services

Retail Products

• Product descriptions and images are for reference and may vary slightly

• Prices are subject to change without notice

• We reserve the right to limit quantities or refuse orders

• Sales tax will be charged where applicable

• Product availability is not guaranteed

Returns and Refunds

• Unopened products may be returned within 30 days of purchase

• Custom or personalized items are not eligible for return

• Shipping costs are non-refundable unless we made an error

• Refunds will be processed to the original payment method within 10 business days

Merchandise and Apparel

• Sizing charts are provided as guidance only

• Colors may vary slightly from images due to screen settings

Boreas Disaster Relief Services

Emergency Response

• Services are provided on a contractual or emergency deployment basis

• Response times are estimates and subject to conditions beyond our control

• Government contracts are subject to separate terms and conditions

• Deployment decisions are made at our discretion based on safety and operational factors

Equipment and Resources

• Self-contained ice, water, and power systems are operated by trained personnel.

• Equipment specifications are subject to availability and operational conditions.

• Resource allocation is prioritized based on emergency severity and contractual obligations.

5. Orders and Payment

Placing Orders

When you place an order:

• You are making an offer to purchase at the stated price

• We reserve the right to accept or reject any order

• Order confirmation does not guarantee product availability

• We may require additional verification for large or unusual orders

Payment Processing

• We accept major credit cards, debit cards, and ACH transfers (for B2B services)

• Payment information is processed securely through third-party payment processors.

• You authorize us to charge your payment method for all purchases

• All prices are in U.S. Dollars unless otherwise stated

Billing Errors

If you believe we have charged you incorrectly, contact us within 60 days at the appropriate email address. We will investigate and correct any errors promptly.

6. Shipping and Delivery

Boreas Iceman Retail Shipping

• Shipping times are estimates and not guaranteed

• We are not responsible for delays caused by carriers or weather

• Risk of loss transfers to you upon delivery to the carrier

• You are responsible for providing accurate shipping addresses

• Unclaimed or refused packages may incur restocking fees

Chione Trucking Freight Services

• Delivery times are estimates based on normal operating conditions

• Force majeure events may delay deliveries without liability

• Delivery requires accessible loading docks or appropriate facilities

• Additional charges may apply for special delivery requirements

7. Intellectual Property Rights

Our Intellectual Property

All content on our websites and services, including text, graphics, logos, images, trademarks, and software, is the property of Chione LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Our trademarks include:

• Chione LLC

• Chione Trucking and the tagline "Ice-Cold Reliability."

• Boreas Iceman and the tagline "Ice It. Drink It. Live It."

• Boreas Disaster Relief and the tagline "When Infrastructure Fails, We Deliver."

• Associated logos, designs, and trade dress

You may not use, copy, reproduce, modify, distribute, or create derivative works without our express written permission.

User-Generated Content

If you submit reviews, testimonials, photos, or other content:

• You grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute your content

• You represent that you own or have rights to the content

• You agree that your content does not violate any third-party rights

• We may remove content at our discretion

8. Prohibited Uses

You may not use our services to:

• Violate any laws or regulations

• Infringe on intellectual property rights

• Transmit harmful code, viruses, or malware

• Engage in fraudulent activity or impersonate others

Service "As Is"

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose

• Warranties of non-infringement

• Warranties that services will be uninterrupted, secure, or error-free

• Warranties regarding the accuracy or reliability of information

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHIONE LLC AND ITS OPERATING COMPANIES SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages

• Loss of profits, revenue, data, or business opportunities

• Damages exceeding the amount you paid to us in the 12 months before the claim

• Damages arising from unauthorized access, service interruptions, or third-party conduct

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Exceptions

Some jurisdictions do not allow limitations on implied warranties or limitations of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Service-Specific Limitations

Chione Trucking: Our liability for freight claims is limited to the declared value of the shipment or $0.60 per pound, whichever is less, unless you purchase additional cargo insurance.

Boreas Disaster Relief: We are not liable for delays or inability to provide services due to force majeure events, government orders, or conditions beyond our reasonable control.

11. Indemnification

You agree to indemnify, defend, and hold harmless Chione LLC, its operating companies, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of our services

• Your violation of these Terms

• Your violation of any third-party rights

• Your negligent or wrongful conduct

• Content you submit or post

12. Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

• Natural disasters (hurricanes, earthquakes, floods, fires)

• War, terrorism, or civil unrest

• Government actions or regulations

• Labor disputes or strikes

• Pandemics or public health emergencies

• Utility failures or telecommunications outages

• Severe weather conditions

During force majeure events, our obligations are suspended for the duration of the event.

13. Dispute Resolution and Arbitration

Informal Resolution

Before filing a claim, you agree to contact us at legal@chionellc.com and attempt to resolve the dispute informally. We will attempt to resolve disputes within 60 days.

Binding Arbitration

If informal resolution fails, any disputes arising from these Terms or our services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration Terms:

• The arbitration will be conducted in Franklin, Tennessee, unless otherwise agreed.

• The arbitrator's decision is final and binding

• Each party bears its own costs unless the arbitrator decides otherwise

• The arbitrator may award any relief available in court

Exceptions to Arbitration

Either party may seek injunctive relief in court to protect intellectual property rights or prevent irreparable harm.

Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

Opt-Out

You may opt out of arbitration by sending a written notice to legal@chionellc.com within 30 days of first accepting these Terms.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Tennessee and the United States, without regard to conflict of law principles.

Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Williamson County, Tennessee. You consent to the personal jurisdiction of these courts.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Chione LLC regarding your use of our services. These Terms supersede all prior agreements, understandings, or communications.

18. Special Provisions

Government Contracts

Services provided under government contracts (federal, state, or local) are subject to the terms and conditions of the specific contract, which take precedence over these Terms in case of conflict.

Business-to-Business Services

For B2B services (Chione Trucking), additional terms may apply as stated in our service agreements, rate confirmations, or contracts. In case of conflict, the specific service agreement controls.

Emergency Services

Boreas Disaster Relief services provided during declared emergencies are subject to applicable emergency management laws and regulations, which may modify or supersede certain provisions of these Terms.

By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
